Association for a World Peace Monument

Statutes

Article 1: Basics
Under the name "Association for a World Peace Monument" and according to Art. 60 ff. ZGB, the Association with headquarters in Zurich (Switzerland) is in existence.

Article 2: Purpose
It is the purpose of the Association, to promote a peaceful co-existence amongst the People, that democratic opinions are respected and understanding and tolerance opposite cultures and religions are maintained.

The Association promotes the erection of a Monument, which for the change of the millennium, should call the worlds population to a peaceful co-existence and the mutual understanding and tolerance amongst them, as well as the maintenance and the administration.

For this purpose, the Association can purchase-, or exchange- Land (property), or accept Land as a donation, to build and construct on.

The Association is politically and denominational neutral.

The Association can also support other Welfare Organizations as long as this serves the purpose. It can also support a single person whom outstandingly served the purpose of the Association.

Article 3: Membership
The admittance to the Association is open to any one, regardless of gender ethnic, religious or political opinion.
The decision to accept the admittance of an applicant lays in the competence of the members of the Association board. According and issued in the Associations regulations.

Article 4: Contributions
The income of the Association consists of donations and gifts from third parties.

The members don't pay a one time admittance, nor do they pay an annual membership fee.

It is the Associations assets only, that can be held liable for occurring obligations.

The Associations assets are exclusively and irrevocable dedicated to the purpose described above.

Article 5: The Board
The Board consists of 2 to 12 Individuals, the Board Members. It constitutes itself and declares its presiding Board Member.

The President takes part in the voting too. In a case of parity of votes, he has the last decision.

The duration of first term of each member of the board is 3 years, and 7 years for each following term

The election of the new members of the board, or the reelection of any former members of the board, is being conducted by the current active members of the board. The members of the board, constituted for the foundation of the Association , have the absolute right, to call the first 10 persons on to the board.

The board members have all the competence, which is not regulated by the Statues or is not absolutely statutory, for the General meeting.

Preparation of business, or administrative handlings, can be delegated by the board of the members, to either a committee or to the management of the Association.

Article 6: General meeting
A General meeting can either be called in by the Members of the board, or by a fifth of the Members of the Association.
The call for a general Meeting will be published in the "Schweizerischen Handelsamtsblatt". The time frame between the publication and the date of the meeting, must count at least 20 days.

The board can call in for the General meeting and inform its members, using different media, in particular over the Email address, given to the Association, by the members themselves.

On demand of the board, members whom would like to take part on the General meeting, the members must allow ample time to register themselves in order to identify themselves in conjunction with the meeting, or to be able to vote.

If the legal and technical circumstances allow it, the board can decide, that a General meeting can also be broadcasted over a worldwide Communication Network, or can be held entirely over such a Network. In such a case, the board will decide and direct the procedures over the validity of votes.

Within its legal limits, the board can also call for a electronically held secret ballot, instead of a General meeting.

Article 7: Representing Agency, Division
If the number of members and their geographical situation justify a division of the General meeting in different sections, the board can in separate meetings of those sections, ask the Associations members to vote and decide over the most decisive issues. The board must announce a delegate for each section, whom informs the members that admitted the meeting in his section, and represents them as to their votes in other sections. The sections are not independent Associations.

The board issues a regulatory over the representatives of the members, the constitution of sections, the votes At section meetings and other matters in accordance.

Article 8: Management and Secretary's Office
For Association matters, the board can call for a Management and the Secretary's Office. To do so, the board can also announce a delegate.

The board also regulates the competence and authorization of the Manager.

The Management or the delegate thereof has the responsibility opposite the members of the board, to report every 3 months from his section of the Association.

Article 9: Revision
The Association is obligated, to present its balance every year to an authorized Accountant for the yearly revision.

Article 10: Dissolution
Should, despite all intensive efforts of the Association Management, the erection of the in Article 1 mentioned Peace Monument not to be realized within a time frame of 10 years, then can the Association under unanimous Decision of the members of the board, be dissolved. In such a case, the assets of the Association will be passed On to another Organization, that has a similar purpose to fulfill.

These Statues were issued on the occasion of the foundation meeting of the Association, which took place on September 17th 1999, in Zurich (Switzerland)
